These Terms of Service ("Terms") govern your use of the U.S. Technology Development LLC ("we", "us", "our") website and any engagement in which you retain us to design, build, or operate software on your behalf. By using this site or signing a statement of work with us, you agree to these Terms.

01 Overview

U.S. Technology Development LLC is an engineering studio providing SaaS, web, mobile, and growth-related services. The specifics of any paid engagement — scope, timeline, deliverables, and price — are set out in a separate proposal or statement of work ("SOW"). Where these Terms and a signed SOW conflict, the SOW controls for that engagement.

02 Eligibility

Our services are intended for businesses and individuals acting in a business capacity, and are not directed to children under 16. By using this site or engaging us, you confirm you have the authority to bind the company or entity you represent.

03 Engagements & scope

Each engagement begins with a proposal or SOW describing the work, timeline, and price. We deliver in iterative phases with regular demos so scope questions surface early rather than at handoff. Material changes to scope are handled through a written change order and may affect timeline or price.

04 Client responsibilities

To keep an engagement on schedule, you agree to:

  • Provide timely feedback, decisions, and approvals at agreed checkpoints.
  • Supply any content, credentials, or third-party accounts needed for the work.
  • Ensure you have the rights to any materials you provide us.

Delays in the above may shift delivery dates accordingly.

05 Fees & payment

Fees, payment schedule, and currency are set in the applicable SOW or invoice. Unless stated otherwise, invoices are due within the period stated on the invoice; overdue amounts may pause active work until resolved. Prices exclude applicable taxes unless stated otherwise.

06 Intellectual property

Upon full payment for an engagement, we assign to you ownership of the custom deliverables created specifically for that engagement, except for:

  • Pre-existing IP — tools, libraries, frameworks, and components we owned or licensed before the engagement, which we license to you for use with the deliverables.
  • Third-party components — open-source or licensed software incorporated into the work, which remain governed by their own licenses.

We may, unless you request otherwise in writing, reference the engagement and general nature of the work (not confidential details) in our own portfolio and marketing.

07 Confidentiality

Each party may share confidential or proprietary information during an engagement. Both parties agree to use such information only for the purposes of the engagement and to protect it with reasonable care, consistent with any separate NDA the parties sign.

08 Acceptable use of this site

You agree not to: interfere with or disrupt the site's operation; attempt to gain unauthorized access to our systems; scrape or harvest data beyond normal browsing; or use the contact form to send unlawful, abusive, or unsolicited bulk messages.

09 Warranties & disclaimers

We provide our services with reasonable skill and care, consistent with industry practice. Except as expressly stated in a signed SOW, this website and our services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10 Limitation of liability

To the maximum extent permitted by law, U.S. Technology Development LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of this site or an engagement with us. Our total liability for any claim arising from an engagement is limited to the fees paid to us for that engagement in the preceding three months, except where a signed SOW states otherwise.

11 Termination

Either party may terminate an active engagement as set out in the applicable SOW, typically with written notice. On termination, you pay for work performed and expenses incurred up to the termination date, and we deliver the work completed to that point.

12 Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming.

13 Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised effective date. Continued use of the site, or a new engagement entered into after changes take effect, constitutes acceptance of the updated Terms.
